Tiscali Independent Referral Associate Terms & Conditions: Upon acceptance of the Agreement by Tiscali Distribution Network Limited ("Tiscali") and in consideration of Tiscali granting to the Referral Associate the non-exclusive right and privilege to purchase and promote Tiscali internet, telecommunications and other related products and services ("the Products" and "the Services") and the Tiscali business opportunity, the Referral Associate (including any joint Referral Associate) hereby agrees to the following terms and conditions: 1. The Referral Associate will use his/her active and best efforts at all times to promote Tiscali Products and Services. 2. The Referral Associate shall have the non-exclusive right to promote Tiscali Products and the Services which Tiscali markets for itself or on behalf of other product/service providers, including Tiscali UK Limited subject to the terms and conditions in each case established by Tiscali or by said providers from time to time and in accordance with the Agreement. The Referral Associate acknowledges that the Referral Associate’s relationship is with Tiscali and not with any provider company with whom Tiscali transacts or conducts business. The Referral Associate understands that certain Services offered by Tiscali may be available at prices or rates established by Tiscali or the providers of such Products and Services from time to time and that those Products and/or Services and prices and rates may be subject to change without prior notice. Upon notification to the Referral Associate, Tiscali may at its discretion amend the Agreement. The Referral Associate's continued engagement in promoting Tiscali Products and Services, after notice of any revisions to the Agreement including in particular the Referral Associate Pay Plan shall constitute his/her agreement to such revisions and legally binding amendment of the Agreement including the Referral Associate Pay Plan. 3. No purchase or investment is necessary to become a Referral Associate other than the purchase of a Referral Associate Pack. 4. The Referral Associate shall be remunerated in accordance with the Referral Associate Pay Plan, as amended from time to time. Bonuses and commissions payable under the Referral Associate Pay Plan will be paid directly into the bank account nominated by the Referral Associate. 5. The Referral Associate is an independent contractor and the Agreement does not create a franchise or an employer/employee, partnership, or joint venture relationship. The Referral Associate shall have no legal right or authority to bind Tiscali to any obligation or to make representations or warranties on behalf of Tiscali. The Referral Associate shall be responsible for the filing of all necessary tax returns and paying all applicable taxes due in relation to the Referral Associate's Tiscali business. 6. As an independent contractor the Referral Associate agrees to: (a) abide by any and all laws, rules and regulations, pertaining to the Agreement and/or pertaining to the promotion of Tiscali Products and/or Services; and (b) conduct himself/herself and deal with customers and other Business Associates with the highest standards of honesty, integrity, and fairness and abide by all DSA codes of conduct in force in any country where the Referral Associate is conducting his/her Tiscali business during the term of the Agreement; and (c) never state that any consumer business or government agency has approved or endorsed the Tiscali Products, Services or Referral Associate Pay Plan; (d) familiarise himself/herself with and abide by all laws, common laws, regulations and statutes of any country in which he/she conducts his/her Tiscali business; (e) not to sign any document that relates to the Tiscali Products, Services or the Referral Associate Pay Plan on behalf of any other Referral Associate or customer. Any such documents will not be deemed valid or bind Tiscali; (f) not to place orders for Products and/or Services that have not been expressly ordered by customers. Tiscali may require written proof to verify the placement of orders; (g) not to place orders for Products and/or Services where the order does not relate to an end user i.e. where the end user is not a real person or business; (h) respect customers’ right to privacy and their right to bring any contact to an end; (i) answer customers questions honestly and clearly; (j) give clear and legally accurate information about price and all aspects of after sales service; (k) refrain from in any way exploiting the customer especially anyone who is particularly vulnerable; (l) offer maximum co-operation to trading standards officers and other individuals or bodies (such as Citizens Advice Bureaux); and (m) identify him or herself to prospective customers, explain the purpose of the approach and identify Tiscali and its Products and Services. 7. The Referral Associate agrees at his/her own expense to make, execute or file, all reports and obtain all licences (including if applicable, VAT registration) as are required by law or public authority with respect to the Agreement, the sale of Tiscali Products and/or the promotion of Tiscali Services. In the event that Tiscali is required to pay VAT on any payments due to the Referral Associate under the Pay Plan or otherwise Tiscali reserves the right or otherwise (subject to any necessary approvals) to self bill for such sums, in which event VAT shall only be paid to the Referral Associate if the Referral Associate is registered for VAT and provides Tiscali with a copy of his/her VAT registration certificate. The Referral Associate agrees that he/she will accept all self billed invoices issued by Tiscali during the term of the Referral Associate Agreement. If the Referral Associate having been registered, becomes de-registered for VAT voluntarily or due to his/her turnover falling below the VAT threshold applicable at the relevant time or otherwise, he/she shall notify Tiscali in writing of the fact of such de-registration within fourteen (14) days of the de-registration taking effect. If Tiscali is obliged or liable to make any payment of VAT to the tax authorities as a result of the failure of the Referral Associate to notify Tiscali of de-registration for VAT then the Referral Associate acknowledges and agrees that Tiscali shall be entitled to recover from him/her the amount of such VAT by deduction from the Referral Associate's account with Tiscali or by any other means available to Tiscali from time to time. 8. Any verbal or written statements made by the Referral Associate, as an independent contractor, with regard to Tiscali’s Products or Services must be based strictly on the written information issued by Tiscali, for example, in current Referral Associate and sales promotion literature. The Referral Associate is liable for all statements he/she may make which deviate from such information issued by Tiscali and hereby indemnifies Tiscali from any loss, damages, claims, costs including legal fees or court costs or fines arising from unauthorised representations made by the Referral Associate. 9. The Agreement will take effect from the date of acceptance by Tiscali and will continue unless or until terminated by either party in accordance with this Agreement. Tiscali reserves the right in its sole discretion to accept or reject an application to become a Referral Associate. 10. The benefit of this Agreement may not be transferred by the Referral Associate. 11. Tiscali will accept individual persons and partnerships as Referral Associates but not limited liability companies. Referral Associates may use a trading name for the conduct of their Tiscali business. Spouses may be accepted as Referral Associates provided they complete and sign the same Referral Associate Agreement as joint Referral Associates. The Agreement may be terminated by the Referral Associate at any time upon not less than fourteen (14) days written notice or by Tiscali at its sole discretion by seven (7) days notice in writing effective immediately for any breach of its provisions or violation of any of the terms of the Agreement. Tiscali may terminate this Agreement by providing thirty (30) days' notice in writing to the Referral Associate if Tiscali elects to discontinue promotion of Tiscali Products and Services through the Referral Associate programme. Further Tiscali may treat this Agreement as terminated by the Referral Associate if in any period of three consecutive calendar months the Referral Associate has not registered any customers for the Products and/or Services. In the event that the Referral Associate cancels the Agreement within 14 days of the date it is entered into the Referral Associate has the right to require Tiscali to refund an amount equal to one hundred per cent (100%) of any monies paid in respect of the Referral Associate Pack. The Business Associate agrees that payments of refunds will be made in the same form as the original payment. 13. The Referral Associate will not use Tiscali or Tiscali's trade marks, trade name, slogans, symbols, and colour scheme without Tiscali's written permission except in the marketing materials, Products and promotional materials provided or sold to the Referral Associate by Tiscali. 14. Referral Associates may not advertise on any electronic mail media, including but not limited to the Internet, other than by using the website templates supplied by Tiscali and containing information provided by Tiscali without prior written approval by Tiscali. No Referral Associate may independently design a website that uses the names, logos, Products or Service descriptions of Tiscali nor may a Referral Associate use "blind" advertisements on the internet making Product, Service or income claims which are ultimately associated with Tiscali Products, Services or the Tiscali Referral Associate Pay Plan. 15. In consideration of Tiscali accepting the Referral Associate’s application, the Referral Associate agrees that the Referral Associate shall not during the term of the Agreement or for a period of ninety (90) days thereafter, take or encourage any action the purpose or effect of which would be to circumvent, breach, interfere with or diminish the value or benefit of Tiscali's contractual relationships with any Tiscali Referral Associates and any other Tiscali agents or representatives. Without prejudice to the generality of the foregoing, the Referral Associate shall not directly or indirectly contact, solicit, entice, sponsor or accept any of Tiscali's Referral Associates into, or in any way promote to any such Referral Associates or other Tiscali agents or representatives opportunities in competing marketing programmes of any direct sales company other than Tiscali. 16. The Referral Associate agrees that Tiscali may retain and process the personal information given by him/her to Tiscali for purposes including the marketing commissions payable and performance of the Tiscali network business. Tiscali may record this information manually and/or electronically and will be the data controller for this information. Tiscali may disclose and transfer such personal information to other members of the Tiscali group of companies which are situated inside and outside of the European Union and to other persons for the purposes of Tiscali’s business. These persons may be situated in countries that do not have laws to protect personal information. Details of the companies and countries involved will be provided on request. 17. These terms and conditions and the Referral Associate Pay Plan (as amended from time to time) constitute the entire agreement between the Referral Associate and Tiscali and no other additional promises, representations, warranties or agreements of any kind shall be valid unless in writing and issued by Tiscali. 18. No failure to exercise and no delay in exercising on the part of Tiscali, any right under the Agreement shall operate as a waiver thereof. 19. Any notice or other written communication given under or in connection with the Agreement may be delivered personally or sent by first class post to Tiscali at Associate Services (Tiscali Network), PO Box 7206, Milton Keynes MK14 6XG or such other address notified from time to time by such party to the other. 20. If at any time any term or provision in the Agreement shall be held to be illegal, invalid or unenforceable in whole or in part under any rule of law or enactment such term or provision or part shall to that extent be deemed not to form part of the Agreement but the enforceability of the remainder of the Agreement shall not be affected. 21. The Contract (Rights of Third Parties) Act 1999 are hereby excluded and shall not apply to this Agreement. 22. The terms and provisions of the Agreement and any dispute arising thereunder shall be governed by English law and the parties hereby submit to the exclusive jurisdiction of the English courts.
